Please read these terms and conditions carefully as they govern your use of our online service (the “Service”) and limit our liability to you. By accepting these terms and conditions and/or registering to use the Service, you are forming a contract and agreeing to the terms that appear below. References to “you” and “your” are to you as an individual. If you are registering to use the Service in the course of your business and/or on behalf of a business, you are also agreeing to this agreement on behalf of that business, and references to “you” and “your” include that business. 1. Provision of Service
- The Service is provided by JLE Marketing Ltd, a company incorporated in the United Kingdom with the company number 14769926, whose registered office is at Updown End, Betteshanger, Deal, Kent, CT14 0EF, England.
- To access the Service, a company entity must register with handyside.legal by completing an online registration form (the “Subscription”). The Subscription and Agreement with us commence once we have emailed the company entity to confirm that we accept their registration. We reserve the right to decline a registration at our discretion.
- The Subscription allows for the creation of multiple user accounts within a single company entity. Each user within the entity is required to have a unique User ID, consisting of a username and password, which must only be used by the individual to whom it is assigned. The company entity is responsible for all use of the Service under these User IDs and for preventing unauthorized use of any User ID.
- In the event of any security breach such as the disclosure, theft, or unauthorised use of any User ID, the company entity must notify handyside.legal immediately by emailing admin@handyside.legal. If we reasonably believe that any User ID is being used in a manner not permitted by these terms and conditions, we reserve the right to suspend access rights immediately upon notice and to block access from the User ID until the issue is resolved.
- By registering to use the Service, the company entity acknowledges and agrees that it has provided accurate and complete registration information. It is the entity’s responsibility to inform us of any changes to that information (including email addresses) by emailing admin@handyside.legal.
- handyside.legal offers various Subscription types, including options for both free and paid services, each featuring different levels of functionality. Additional paid services tailored to specific financial requirements of the company entity may also be introduced.
- The Service allows legal practices to define a company entity, under which multiple users can upload sensitive case details for their clients into our system. Our system then automates the process of creating a submission for them.
- handyside.legal is committed to continually improving the Service. We reserve the right, at our discretion, to make changes to any part of the Service, provided that it does not materially reduce its content or functionality.
- Upon acceptance of these terms and conditions, we will make the Service available to the company entity. Except as set out in these terms and conditions, there will be no right to cancel the contract before the end of the Subscription once the Service has been made available.
2. Limited Rights to Use Service
- The Service and all copyright and intellectual property rights in it belong to JLE Marketing Ltd (or its licensors). Subject to this clause, you may:
- Access and use the Service for its intended purpose, which includes facilitating the management and processing of sensitive legal case details for clients.
- As a legal practice, upload and manage case details within the Service, utilising its features to create submissions and other necessary legal documentation.
- You may not (without obtaining prior written permission from JLE Marketing Ltd):
- Redistribute or resell use of or access to the Service.
- Remove any copyright or trademark notices of JLE Marketing Ltd or handyside.legal from any part of the Service.
- Modify, reproduce, or in any way commercially exploit the Service or any part of it, except as expressly permitted within these terms.
- You acknowledge that handyside.legal and any associated logos are trademarks of JLE Marketing Ltd, protected by registered and unregistered trademark rights. These marks may not be used without the prior written permission of JLE Marketing Ltd.
3. Subscription Fees
- Paid Subscription Fees:
- If you opt for a Paid Subscription, the fees for your Subscription (the “Subscription Fees”) will be as per the quoted price at the relevant time. You may choose to pay these Subscription Fees either annually or monthly in advance.
- You are required to arrange payment of all Subscription Fees using a payment method as reasonably requested by handyside.legal. We are not obligated to provide the Service under a Paid Subscription until the relevant Subscription Fees for your Subscription have been paid in full. Failure to pay any Subscription Fees when due may result in suspension or termination of your access to the Service.
- Payment Schedule and Fee Adjustments:
- The initial Subscription Fee for your Paid Subscription must be paid upon our acceptance of your registration. Subsequently, handyside.legal will notify you via email in advance of when your next Subscription Fee is due.
- handyside.legal reserves the right to adjust the Subscription Fees for your Subscription. Any such change will be communicated to you with not less than thirty (30) days’ written notice during your Subscription period.
- handyside.legal retains the right to charge the next Subscription Fee (or any increased Subscription Fee) using the payment details you have provided. If you decide to terminate your Subscription in accordance with clause 8.3, it is your responsibility to inform us before the next payment is due.
4. User Content
- Uploading and Managing Content:
- handyside.legal’s Service enables users to upload sensitive client data and share various materials, including comments, text, documents and data content (collectively, “User Content”). While handyside.legal does not actively monitor or control the submission of User Content, we reserve the right to delete, remove, move, or edit any User Content as deemed necessary or prudent at our discretion.
- User Responsibilities and Content Compliance:
- You agree to adhere to all applicable laws and regulations when using our Service. You are solely responsible for all User Content you upload or submit. It is imperative that your User Content is lawful, not misleading, and does not harm other users or is otherwise objectionable.
- Specifically, you must not upload, submit, post, or transmit via the Service any User Content that:
- Is fraudulent, dishonest, or misleading.
- Is unlawful, harassing, libellous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable or breaches any laws.
- Encourages conduct that could constitute a criminal offence, give rise to civil liability, or otherwise breach any laws, regulations, or codes of practice.
- Infringes upon the copyright or other rights of any third party.
- Is technically harmful, such as computer viruses, malicious software, or harmful data.
- Licence Grant on User Content:
- By submitting User Content to the Service, you grant handyside.legal a royalty-free, non-exclusive licence to use, reproduce, modify, translate, make available, and distribute the User Content through the Service. This licence is for the purpose of operating the Service and providing it to you and other users. For example, if you publish requests for information (RFIs) or other submissions, you understand that other users will be able to access, view, comment on, and respond to these RFIs.
- Third-Party Content:
- The Service allows you to access and view content provided by third parties. These third parties are responsible for ensuring that the content they submit is accurate and complies with relevant laws and these terms and conditions. handyside.legal is not responsible for the conduct of these third parties or for any errors or inaccuracies in the material they provide.
5. Warranties
- Paid Subscription Warranties:
- For those opting for a Paid Subscription, JLE Marketing Ltd warrants that:
- It has the right to make the Service available to you under these terms and conditions.
- It will employ reasonable skill and care in making the Service available to you and in ensuring its availability during your Paid Subscription.
- The Service, when used as intended, will conform in all material respects with the description of the Service as published on handyside.legal’s website from time to time.
- For those opting for a Paid Subscription, JLE Marketing Ltd warrants that:
- Limitations of Internet-Based Services:
- Due to the inherent nature of the Internet and software, errors and omissions do occur. Therefore, apart from the warranties expressly provided in clause 5.1, JLE Marketing Ltd does not offer any other warranties regarding the Service or its availability.
- In particular, JLE Marketing Ltd does not warrant that your use of the Service will be uninterrupted or error-free, or that the Service is free from viruses or anything else with contaminating or destructive properties. All implied warranties are excluded from this agreement to the extent that they can be excluded as a matter of law.
6. Limitation of Liability
- Remedying Faults in the Service:
- JLE Marketing Ltd will use reasonable endeavors to remedy any faults in the Service or any breach of the warranties given in clause 5.2, which are reported during your Subscription. If JLE Marketing Ltd is in breach of these terms and conditions or its Agreement with you, your sole remedy and the only recovery for damages incurred will be limited to an amount equivalent to any Subscription Fees paid for the relevant subscription period. For users with a Free Subscription, the only remedy available will be to terminate the use of the Service.
- Exclusion of Certain Damages:
- JLE Marketing Ltd will not be liable for any business losses, such as lost data, lost profits, or business interruption, arising from your use or inability to use the Service or from any actions taken (or refrained from being taken) as a result of using the Service.
- Non-Excludable Liabilities:
- Nothing in these terms and conditions will limit or exclude JLE Marketing Ltd’s liability for fraud, death, or personal injury caused by its negligence, or for any other liability which cannot be limited or excluded by applicable law.
7. Privacy Policy and Data Protection
- Use of Personal Information:
- Personal information that you, or your users, provide, or which you upload to the Service, will be used by JLE Marketing Ltd, operating handyside.legal, in accordance with its Privacy Policy. Please ensure you read the Privacy Policy carefully, and if you have any questions, email us at admin@handyside.legal.
- Compliance with Data Protection Laws:
- If you upload any personal data to the Service or transmit any personal data via the Service, you must ensure that you have obtained all necessary consents and permissions. You must take all actions necessary to ensure that such processing of personal data is compliant with the Data Protection Act 2018 (which supersedes the 1998 Act) and any other applicable laws concerning privacy and data protection.
- You acknowledge and agree that any personal or business data contained in submissions made via the Service may be accessible to other users who have been granted access. You are solely responsible for deciding whether to publish any information in this way and for ensuring that any such publication is lawful.
- You agree to indemnify JLE Marketing Ltd and hold us harmless in respect of any claim, loss, damage, or expenses we may incur as a consequence of any breach of this clause.
- Data Processing by JLE Marketing Ltd:
- In cases where JLE Marketing Ltd processes any personal data on your behalf while providing the Service, it shall:
- Act only on your instructions.
- Implement appropriate technical and organisational security measures against unauthorised or unlawful processing of personal data, and against accidental loss, destruction, or damage to personal data.

8. Term and Termination
- Subscription Commencement and Continuation:
- Unless specified otherwise, all Subscriptions will commence from the date that JLE Marketing Ltd, operating handyside.legal, accepts your registration. Subscriptions will continue indefinitely until terminated in accordance with this clause 8.
- Consumer Rights for Paid Subscriptions:
- If you are a consumer and have opted for a Paid Subscription, you may cancel your Subscription within 14 days of the purchase date and receive a full refund of any Subscription Fees paid, in accordance with clause 9.
- Terminating Paid Subscriptions:
- If you have a Paid Subscription, you may terminate it at any time by giving not less than fourteen (14) days’ written notice. However, in such cases, you will not be entitled to a refund of any Subscription Fees paid prior to the end of your Subscription.
- Termination by handyside.legal:
- JLE Marketing Ltd may terminate your Subscription and access to the Service if:
- You fail to pay any Subscription Fees due by the payment deadline.
- You are in material breach of these terms and conditions or your agreement with JLE Marketing Ltd, and the breach is not remedied within fourteen (14) days after written notice of the breach.
- JLE Marketing Ltd may also suspend your access to the Service with immediate effect if it reasonably believes you are in breach of clause 4.
- JLE Marketing Ltd may terminate your Subscription and access to the Service if:
- Discontinuation of Service:
- JLE Marketing Ltd may discontinue the Service by providing not less than thirty (30) days’ written notice. In such a case, Free Subscriptions will end after thirty (30) days (or a later date specified by JLE Marketing Ltd), and Paid Subscriptions will cease on the date that the next Subscription Fee is due (or a later date as specified).
- Termination for Material Breach:
- You may terminate this agreement and receive a pro-rata refund of any Subscription Fees paid if JLE Marketing Ltd is in material breach of these terms and conditions, and the breach is not remedied within fourteen (14) days after written notice of the breach is given to JLE Marketing Ltd.
- Effects of Termination:
- Following termination of your Subscription for any reason, you will no longer have access to or be able to use the Service, and all rights granted to you under this agreement will cease.
9. Consumer Cancellation (and Other) Rights
- Definition of a Consumer:
- For the purposes of this clause and these terms and conditions, you are considered a “Consumer” if: (i) you are an individual or a business; and (ii) you are purchasing a Paid Subscription from handyside.legal, operated by JLE Marketing Ltd, wholly or mainly for professional use (i.e., for use in connection with your trade, business, craft, or profession).
- Cancellation Rights:
- As a Consumer, if you have purchased a Paid Subscription, you have the legal right to change your mind within fourteen (14) days and receive a refund. This right is accorded to you under the Consumer Contracts Regulations 2013.
- You have fourteen (14) days from the day you purchased your Paid Subscription to exercise this right. However, if you have accessed and used the Service during this period, we reserve the right to charge a reasonable fee for your use of the Service up until the time you inform us of your decision to cancel.
- To cancel, please inform us by:
- Emailing admin@handyside.legal; or
- Using the cancellation form provided in Annex 1 of these terms and conditions, and sending it to our address as given in clause 1.1. Alternatively, you can write to us at that address, including the required information.
- We will refund the Subscription Fee you paid for your Paid Subscription. However, we may deduct a reasonable amount for any Service use before you notified us of your change of mind. Refunds will be processed within fourteen (14) days of receiving your cancellation notice.
- Additional Legal Rights for Consumers:
- If you are a Consumer, you may have other legal rights and protections under applicable law, in addition to those mentioned in this clause or elsewhere in this Agreement. Nothing in these terms and conditions or our Agreement with you will affect your statutory or legal rights as a Consumer.
10. Notices
- Sending Notices:
- All notices to JLE Marketing Ltd, operating handyside.legal, should be directed via email to admin@handyside.legal or by post to Updown End, Betteshanger, Deal, Kent, CT14 0EF, England. Notices to you will be sent to either the email or postal address you provided during your Subscription registration.
- Receipt of Notices:
- A notice will be deemed received when an email is received in full, or on the next business day if the email is received on a weekend or a public holiday in the place of receipt. If the notice is sent by post, it will be deemed received 3 days after the date of posting.
11. General
- Transfer and Assignment:
- JLE Marketing Ltd may transfer and/or assign its rights and/or obligations under its Agreement with you regarding handyside.legal. This will not affect your rights under the Agreement. You may not transfer any of your rights or obligations under your Agreement with handyside.legal without first obtaining our written consent.
- Rights Conferred:
- Nothing in these terms and conditions and/or your Agreement with us shall confer any rights on any other person.
- Breach of Terms:
- If you breach these terms and conditions and/or your Agreement with us and JLE Marketing Ltd does not take immediate action, we still retain the right to use our remedies at a later date or in any other situation where you breach these terms and conditions and/or your Agreement with us.
- Entire Agreement:
- These terms and conditions, along with your registration form, the Privacy Policy, and any other documents referred to herein, along with any other legal terms and notices we may publish on the Service from time to time, constitute the entire agreement between the parties in relation to its subject matter. Any amendments to this agreement must be made in writing.
- Governing Law and Jurisdiction:
- The Agreement shall be governed by and construed in accordance with English law. Any disputes arising under or in connection with it shall be subject to the non-exclusive jurisdiction of the English courts. We aim to resolve any disagreements quickly and efficiently.
- Amendments to Terms and Conditions:
- We may amend or update the terms and conditions governing the use of the Service at any time, providing not less than thirty (30) days’ written notice. For Free Subscriptions, your Agreement with us will be governed by the terms and conditions in force at the time of your registration or the latest version we notified you in writing. For Paid Subscriptions, your Agreement will be governed by the terms and conditions published on the Service when your Subscription started, or those in force on the date you last paid any Subscription Fees.
